Terms and Conditions of Sale and Website Usage

1. Definitions

• Company: Refers to Purfleet Forecourt Services Ltd, including subsidiaries.
• Customer: Any individual, firm, or company purchasing goods from the Company.
• Goods: All items, equipment, materials, or services provided under a contract with the Company.
• Contract: Any agreement for the sale of Goods by the Company to the Customer.

2. Contract Formation

• Quotations are non-binding and may be amended before acceptance of the Customer’s order.
• These Conditions supersede prior terms and apply to all Contracts unless otherwise agreed in writing by the Company’s directors.
• Any acceptance of Goods implies acceptance of these Conditions.
• All credit terms set by the Company are binding and incorporated into these Conditions.

3. Specifications and Descriptions

• Product descriptions and specifications are approximate and may vary based on material availability.
• The Company reserves the right to substitute similar products if necessary.
• The Customer agrees to accept Goods with any reasonable modifications, provided they fulfill the intended purpose.

4. Order Variations and Cancellations

• Additional charges may apply if the Customer delays or modifies delivery or requests additional work.
• Refusal to accept Goods may result in charges for storage, handling, and re-delivery.

5. Delivery and Risk

• Risk transfers to the Customer upon delivery, which typically occurs at the Company’s premises.
• Delivery dates are estimates; the Company is not liable for delays.

6. Damages or Loss in Transit

• Claims for damages or shortages must be documented upon delivery and reported within three days, with complete written claims submitted within seven days.

7. Defects and Liability

• For non-Company manufactured Goods, warranties are as per the manufacturer’s terms, which the Company will transfer to the Customer.
• Warranty claims on Goods or repairs must be pre-approved by the manufacturer or scheme administrator.
• Any other service or repair issues must be reported within one week of discovery.
• The Company is not liable for loss, theft, or damage to articles left in vehicles or for errors by Company staff regarding fault diagnosis.

8. Prices and Payments

• Prices exclude VAT and other applicable taxes.
• Payment terms are due by the 20th of the month following delivery unless otherwise agreed.
• Overdue payments incur 2% monthly interest.
• All legal and administrative costs arising from contract breaches by the Customer are the Customer’s responsibility.

9. Retention of Title

• Goods remain the Company’s property until full payment is received.
• The Company may repossess Goods if payment is overdue or contract terms are breached.

10. Purchaser’s Default

• If payment defaults, the Company may suspend deliveries or terminate the contract.

11. Force Majeure

• The Company may cancel or delay Contracts due to uncontrollable events (e.g., strikes, natural disasters) without liability.

12. Set-Off

• The Customer may not withhold payment due to disputes or claims.

13. Legal Construction

• All Contracts are governed by English law. Disputes fall under the jurisdiction of English courts.

14. Website Trade Account Use

• Access Responsibility: Trade account customers may manage their user list, including assigning and revoking website access to their staff.
• Customer Liability: The Customer is solely responsible for managing users with website access. The Company is not liable for any unauthorized orders placed by users within the Customer’s account.
• Security: The website is password-protected, with master users granted access to manage permissions for their company's users.
